Notice Regarding EXNOS Co., Ltd. Being Established as a New Subsidiary Following Acquisition of Shares

Increasing smart mobility by strengthening the roadway control systems business

Optex Co., Ltd. (Headquarters: Otsu City, Shiga Prefecture, President & CEO: Toru Kamimura, hereinafter “Optex”) acquired 100% of the outstanding shares of EXNOS Co., Ltd. (Headquarters: Sagamihara City, Kanagawa Prefecture, President: Hiroshi Sato, hereinafter “EXNOS”) on April 3, 2023, making EXNOS a wholly owned subsidiary of Optex.

1. Purpose of acquisition of shares

EXNOS is the sole manufacturer in Japan specializing in the design, development, and sales of vehicle guidance systems for use in parking lots. Since its establishment in 1998, EXNOS has provided numerous parking lot guidance systems for large commercial facilities such as shopping malls and mass retail stores, as well as large parking lots for airports, hospitals, and other public facilities. EXNOS’s proprietary vehicle guidance systems include vehicle detection sensors, guide lights, display devices, control systems, and display control software. The company also provides comprehensive support for its systems, from proposing site-appropriate systems to installation and after-sales services.

Since its establishment, Optex has utilized its proprietary sensing technology to develop sensors specially designed for a variety of applications. While loop coil sensors requiring underground installation work have been used for vehicle detection applications for many years, Optex has developed various sensors that require less effort during installation and also reduce environmental impacts. These products have helped Optex expand its systems business through vehicle detection sensors mainly in small- to medium-sized parking lots, including coin-operated parking lots.

Optex’s acquisition of the shares of EXNOS will allow for greater cooperation between the two companies while also helping Optex strengthen its efforts toward the following goals.

1. Reduce wait times and stress when parking, and improve ease of use by providing guidance to available parking spaces
2. Improve parking lot turnover (profitability) through efficient guidance to available parking spaces
3. Alleviate traffic guide staff shortage problems through vehicle guidance systems
4. Take advantage of parking data gathered by vehicle sensors for marketing and MaaS* applications
5. Reduce CO2 emissions by minimizing congestion on roads around facilities and reducing idling times

2. Future prospects
